Summary of Responsibilities
Responsibilities include managing and overseeing preparation, negotiation, and execution of contracts relating to corporate, telecommunications services, software development and commercial activities under the supervision of the Chief Financial Officer and outside attorneys, including without limitation, vendor and service contracts, master agreements, consulting agreements, software trial agreements, software licensing & services agreements, customer agreements, supply agreements, confidentiality or non-disclosure agreements, and related agreements, and assist with organization and upkeep of eRoom contracts database and files for all contracts and agreements. Ability to handle multiple tasks in a fast-paced, high volume environment is essential. Willingness to take initiative, be proactive, and good people skills are a must.
Essential Functions
- Coordinate with personnel regarding contract needs, including vendor and service contracts, master agreements, consulting agreements, software trial, licensing and service agreements, material transfer agreements, supply agreements, confidentiality or non-disclosure agreements, and related agreements.
- Prepare draft agreements in response to employee requests using pre-approved contract and agreement templates.
- Work with the CFO and outside attorneys to prepare modified form agreements or unique agreements as required.
- Assist the CFO and outside attorneys with review of third party generated contracts or agreements, and with preparation of modified terms or provisions arising during the course of negotiations.
- Manage negotiations with outside parties regarding contracts, and communicate with outside attorneys and involved employees regarding the same.
- Update eRoom contract database and files relating to contracts, and cooperate and coordinate with outside legal staff regarding overall management of the database and contract files.
- Work with outside attorneys and internal personnel to periodically review and update form agreements as required.
- Maintain integrity of company’s legal documents and/or contract templates to ensure forms are not modified without review and approval of the CFO and outside attorneys, except on a case-by-case basis during negotiations under CFO and outside attorney’s supervision.
- Generally work under supervision of the CFO to help protect company’s interests during interactions with outside parties through the use of the appropriate contracts.
- Generally work to ensure clear and prompt communication with outside attorneys, employees, and outside vendors regarding contracts.
- Keep up-to-date on legal issues relating to the telecommunications industry and contracts for the same, through appropriate classes, seminars, or other educational opportunities approved by the CFO.
- Perform miscellaneous tasks and other duties as required for effective implementation, management, and upkeep of company contracts and agreements, and administration.
Minimum education requirements
Experience required
Knowledge & skills (general and technical)
- College diploma required. A paralegal certificate is preferred.
- At least five (5) years prior telecommunications and corporate contract management experience relating to telecommunications or software research and development activities, and preferably some experience relating to intellectual property.
- Must be proficient in MS WORD and EXCEL. Accurate typing, data entry, grammatical, and organizational skills are a must.
Other requirements (licenses, certifications, specialized training, physical or mental abilities required)
- Paralegal certificate preferred.

- Fast paced environment handling multiple demands. Must be able to exercise appropriate judgment as necessary. Requires a high level of initiative and independence. Excellent written and oral communication skills required. Requires ability to use a personal computer for extended periods of time.
